TERMS OF SERVICE:

Springs15 is a test-bed where Creators and Backers interact online to turn an original idea into reality. As a Creator, you can post your project on the platform and connect with "Backers" or Backers who find your project attractive and exciting and are willing to pre-purchase it on the platform. The project must be uploaded to the Platform exclusively. The creator is not allowed to upload the project or any part of it, such as the product, design, packaging material, etc. on any other similar platform. The Platform reserves the right to delist the Project at any time at its sole discretion if the Creator violates this clause. The Platform does not manufacture or supply any projects listed on the Platform. We may include a personal statement of appreciation for each Project, but such statements shall not be construed as a warranty, guarantee, certification, approval, endorsement or verification of any kind. Therefore, you are entirely responsible for your own review and due diligence of projects posted on the Platform. We make no warranties or representations as to the quality, timeliness, safety or delivery of any product, and you are encouraged to perform your own due diligence before investing anything in the Projects or transacting on the Platform, and in this regard, you agree to indemnify and hold us harmless from any issues or claims between you and the creators or Backers of the Platform.

REGISTRATION:
In consideration of your use of the Platform, you represent that you are of legal age to form a binding contract and that you are not a person barred from receiving services under the laws of United Arab Emirates or any other applicable jurisdiction. Creators must create a project page on the Platform in order to register for testing their idea. As a seller of goods in the UAE, Creators must obtain an E-Trader license. The Platform reserves the right to reject a Creator's registration after verifying the relevant licenses. Unlicensed Creators may use Springs15's license, after which a higher platform fee will be charged. Food businesses require additional permits, which may also be provided by Springs15. However, different fees will be charged and adjusted to the Creator's needs after individual consultation and agreement. Backers must also sign up on the platform to become registered users.
This process requires the provision of basic personal information such as name, email ID, phone number and a private password in exchange for a fixed subscription to the Platform ("Registration"). Creators and communicate with each other on the Platform via the comments section or the "Ask Creator" feature, which will direct them to an email pop-up without disclosing their respective email IDs for the duration of the project.
The registration request is subject to our approval. You agree to provide accurate and complete information during the registration process. The Platform reserves the right (at any time and without cause, notice, restriction or liability) to terminate your account or restrict your access to the Platform and to refuse your registration in its sole discretion.
Each registration is for a single user and is non-transferable unless approved by the Platform. You are solely responsible for the nature and extent of any disclosures you make to the Platform or any other Creators or Backers you meet through the Platform. Our commitment to confidentiality is consistent with our Privacy Policy. The security of your username and password on the Platform is your sole responsibility, and you will notify us immediately if you lose access to your account.
The Platform may not engage with any person, user or company subject to international sanctions (including but not limited to trade, military, economic) imposed by any international, national or regulatory authority. We may not provide services or products to any of the OFAC (Office of Foreign Assets Control) sanctioned countries, in accordance with UAE law. Please refrain from using the Platform if you fall under any of these categories. When accessing the Platform, you will not attempt to interrupt, disrupt or act in any way contrary to the Terms of Use or the laws of the United Arab Emirates.

SITE ACCESS:
The Platform may be accessed through a mobile phone, tablet, laptop, computer, smart devices and other application programs.

Interfaces. Subject to your compliance with these Terms of Use, we grant you a limited, non-exclusive and non-transferable license to:

(i) access and use the Platform solely in connection with the specified use; and
(ii) access and use content, information and related materials made available through the Platform, in each case solely for your personal use. Any right not expressly granted in these Terms of Use is reserved by us.

The license we grant to you prevents you from downloading or modifying any Content or any part thereof unless you have obtained prior written permission from us. This license does not include any robotics, data mining, or similar data gathering and extraction tools; any derivative use of the Platform; or any resale or commercial use of the Platform. You may not transmit any viruses, trojans or other features that may contaminate the Platform. You may not post or transmit any false, fraudulent or speculative postings or any unlawful, defamatory, threatening, indecent, obscene, pornographic or profane material or content that could constitute or encourage a criminal or civil offense or otherwise violate any law. You may not copy, reproduce, duplicate, resell or transmit any content from the Platform for any commercial purpose without the prior written consent of the Platform. You are responsible for ensuring that you are fully aware of the laws that govern your relationship with the Platform.

ONLINE COMMUNICATION:
The Platform communicates with registered users on the Website via messages, or via emails, advertisements and other details relevant to the registration and use of the Platform. You consent to all electronic communications between us. Backers are free to communicate with Creators or other Backers via the comments section or the "Ask Creator" feature, where the message is sent to the Creator via email without disclosing the email addresses used, for the duration of a project. Creators can also connect with other creators on the platform and build a collaborative community. We are not obligated to review the content shared in these mediums and assume no responsibility or liability for the content. Notwithstanding the foregoing, the Platform has the discretion to delete or reject messages exchanged between a Creator and Backer, between Backers, or between Creators. Unlawful, harmful, threatening, abusive, defamatory, harassing, vulgar, profane, obscene, hateful, racially, ethnically or otherwise objectionable material of any kind, including but not limited to material that encourages conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any applicable local, state, national or international law.

LIMITATION OF LIABILITY:
You understand that all aspects of all details provided on the Platform are not intended to be legal, financial, technical, medical, business or professional advice of any kind, each of which is subject to additional terms and conditions; therefore, you are advised to carefully read the specific terms and conditions of each Platform. The Platform shall not be liable to you for any direct, indirect, special, exemplary, incidental or consequential damages, including but not limited to, software errors, inaccurate pricing due to human or technical error; damages for loss of profits, goodwill, use, data or other intangible losses arising from the use of the Platform. In consideration of the foregoing disclaimer, in the event that liability is determined by a competent authority, you expressly acknowledge and agree under these Terms of Use in any matter against us that the maximum amount of any claim for liability shall in no event exceed the amount paid by you to us in respect of the value of the specific product to which the liability relates.

PLATFORM PAYMENTS:
Backers can pledge money to their preferred project by providing their credit card details on the Platform. All credit card information and personally identifiable information will not be stored, sold, shared, rented or given to any third party. It is the Backer's responsibility to check with their bank for any additional service charge, loyalty, or convenience, finance, foreign exchange or other fees prior to purchasing an item on the Platform. Neither the Platform nor the Owner are responsible or liable for any excessive fees charged by banks for your credit card.
The product will be shipped to the Backer upon completion of the project. The pledged amount includes shipping costs, applicable VAT and other applicable fees and taxes. The Platform does not assume any liability for the management of the funds, it only provides a payment gateway for successful transactions.

SHIPPING:
The Platform does not take any responsibility for shipping products to Backers. The Platform may share details of preferred logistics partners with Creators, but it is at the Creators' discretion to work with them. Once a project is successful, the platform reserves the right to remove itself from the process going forward. The Creator must contact Backers directly via email, which will then be provided by the Platform.

REFUNDS, RETURNS, AND CANCELLATION:
Once the money is pledged, there is no way to cancel, return or request a refund through the platform. Backers should carefully select the project they wish to support and decide on the reward they wish to purchase. Once the purchase has been made, it cannot be reversed. Once the reward has been received, a request for a refund or return should be made to the creator only, and it is at the creator's discretion to grant the request. Depending on the reason for the return/refund, a fee may be charged. The Platform assumes no responsibility for such refund or cancellation requests.

THIRD -PARTY SITES:
The Platform may contain advertisements with external links on separate websites ("Third Party Sites"). Once you click on or access these Third-Party Sites, you will leave the Platform. We do not investigate, review, endorse, represent or control the content of any Third Party Sites unless otherwise expressly stated in the Terms of Use. We are not responsible or accountable for the content displayed on third party sites. You access and use these third party sites at your own risk and liability. You also agree not to link any other websites or third party sites to the Platform without our express prior written consent and approval. The Third Party Sites may select and deliver (separately and apart from this Platform) advertising networks, advertising agencies, advertisers and audience segment providers. These Third Party Providers may collect information about you and your online activities on the Platform or other websites through cookies, web beacons and other technologies in order to understand your interests and deliver advertising to you that is tailored to your interests. We do not have access to or control over the information that third-party websites may collect. The information practices of these third party vendors or third party websites are not subject to these Terms of Use or Privacy Policy.

FEES AND ACCOUNTS:
Creators are responsible for familiarizing themselves with the Platform's fees before offering a product for sale. A usage fee will be collected from the creator once their project reaches Target Budget. The usage fee consists of a platform fee and a payment and transfer processing fee. If the Creator uses their license, the applicable platform fee is 12%. Unlicensed Creators may use Springs15's license at a higher platform fee of 15%. The fee will be deducted before we transfer the funds to the Creator's bank account, details of which will be collected at registration. We reserve the right to change our fees at any time. You will be notified of any change in fees by email.

SUBMISSIONS ON THE PLATFORM:
You may contact us directly at any time with information, references, ideas, concepts, know-how, techniques, comments or suggestions via our email address info@springs15.com. Any information, references, approved reviews, ideas, concepts, know-how, techniques, comments or suggestions that you submit to us through the Platform shall be deemed our sole and exclusive property and shall remain in our possession at all times. We shall be entitled to use or distribute such information for commercial or other purposes in our sole discretion without any obligation to compensate or remunerate you. Information provided or submitted by users on the Platform does not constitute our opinion or advice, and information provided should not be used or followed without consulting a qualified advisor. We do not ensure the validity of posts or reviews submitted by users. You may read our copyrighted material and reviews for free, but you are prohibited from sharing, distributing or selling this material.

INTELLECTUAL PROPERTY:
All content on the Platform, including but not limited to text, designs, graphics, photographs, videos, interactive presentations, photos, software, logos, text, arrangements and layouts are our sole and exclusive property or have been licensed to us and all rights are reserved and protected by international copyright laws. All trademarks and trade names, including 'Springs15' and 'The Sehee Company', and all other derivatives thereof, including trademarks appearing on the Platform, are our property and may only be used by licensees authorized by us and are protected by international intellectual property laws. You agree not to use, distribute, publish or reverse engineer any content or other intellectual property rights on this Platform without our prior written consent.

SURVIVABILITY:
If a court in United Arab Emirates finds any portion of the Terms of Use to be unenforceable or invalid, that portion shall be deemed deleted and the remainder of the Terms of Use shall continue in full force and effect to the fullest extent permitted by applicable law.

AMENDMENT:
We reserve the right to change content on the Platform without prior notice. The most current version of the Terms of Use will always be available on the Platform, so you are encouraged to visit the Platform and read these Terms of Use before using the Platform. Your continued use will automatically be deemed as your acceptance of these Terms of Use.

NOTICES OR COMMUNICATIONS:
Any notices or communications under the Terms of Use may be delivered to you electronically and such notice shall be deemed effective. Notices or communications to us may be delivered electronically at info@springs15.com.

GOVERNING LAW AND JURISDICTION:
By using the Platform, you expressly agree that the Terms of Use shall be governed by the applicable law and subject to the jurisdiction of United Arab Emirates, and any disputes regarding the content of the Platform shall be subject to the exclusive jurisdiction of three (3) arbitrators under the rules of the DIFC-LCIA located in Dubai, United Arab Emirates, regardless of your geographic location, in the English language.

TERMINATION:
We reserve the right to terminate or suspend access to this Platform with respect to any User(s) at any time without notice. We also reserve the right to terminate this Agreement at any time and for any reason with respect to one or more Users by written notice via email.
You may terminate the Agreement with us by sending us written notice and discontinuing your use of the Platform or by discontinuing your use of the Platform only. Termination of the agreement between us in these Terms of Use will not affect any rights or liabilities of either party accrued prior to the date of termination.
